This Agreement constitutes an official and public offer by the Seller to conclude a contract for the sale and purchase of Goods presented on the website medusha.co. This Agreement is public, meaning that in accordance with Article 633 of the Civil Code of Ukraine, its terms are identical for all buyers regardless of their status (individual, legal entity, Sole Proprietor / FOP).
The Agreement shall be deemed concluded from the moment the Buyer clicks the “Place Order” button on the checkout page. By concluding this Agreement, the Buyer accepts the terms and conditions of the Agreement in full.
1. Definition of Terms
1.1. Seller – LLC “MeDusha”, which posts an offer on the Website to purchase Goods.
1.2. Buyer – any legally capable individual or legal entity that has accepted the terms of this Agreement and intends to purchase the Goods.
1.3. Goods – the list of items in the assortment (frozen ravioli, pasta, sauces, etc.) presented in the online store.
1.4. Frozen Product – Goods requiring a special temperature regime for storage and transportation (from -18°C or below).
2. Subject of the Agreement
2.1. The Seller undertakes to transfer ownership of the Goods to the Buyer, and the Buyer undertakes to pay for and accept the Goods under the terms of this Agreement.
3. Order Placement Procedure
3.1. The Buyer shall independently place an order in the online store through the “Shopping Cart” form or by the phone number indicated on the Website.
3.2. The order processing and assembly period shall be up to 2 business days from the moment of its placement.
4. Price and Payment Procedure
4.1. Prices for the Goods are indicated on the pages of the online store in the national currency of Ukraine (Hryvnia / UAH).
4.2. Payment shall be made via:
• Online on the website via bank card (Visa/MasterCard);
• In cash or by card upon receipt.
5. Terms of Delivery and Receipt of Goods
5.1. Methods of Receipt: The Buyer may receive the ordered Goods in one of the following ways:
• Pick-up (Self-delivery): from the Seller’s pick-up point at the address indicated on the
Website.
• Courier delivery: carried out with the involvement of the partner delivery service Uklon
Delivery or others.
5.2. Terms of Pick-up (Self-delivery):
5.2.1. The Buyer shall pick up the Order during the business hours of the pick-up point after receiving confirmation that the Order is ready.
5.2.2. Transfer of Risks: The risk of accidental damage or spoilage (defrosting) of the Goods passes to the Buyer at the moment of physical transfer of the Goods by the Seller’s employee to the Buyer at the pick-up point. The Seller shall not be held liable for maintaining the temperature regime during the self-transportation of the Goods by the Buyer.
5.2.3. The Buyer shall verify the assortment, quantity, and integrity of the packaging directly at the moment of receipt.
5.3. Terms of Delivery via Uklon Delivery service:
5.3.1. Delivery is carried out within the coverage areas of the Uklon Delivery service in the city of Kyiv. The delivery cost is calculated according to the tariffs of the Uklon Delivery service and may be included in the Order total or paid separately.
5.3.2. Urgency: Since the Goods belong to the category of perishable (frozen) products, delivery is carried out in the “on-demand / immediate” format or within a strictly agreed time slot.
5.3.3. Buyer’s Obligation: The Buyer undertakes to ensure their presence (or the presence of an
authorized person) at the delivery address at the moment of the courier’s arrival and to be reachable at the specified phone number.
5.3.4. Liability for Non-Receipt: The courier’s waiting time is regulated by the rules of the Uklon Delivery service (typically no more than 5-10 minutes). If the Buyer fails to establish communication or does not open the door, and the courier is unable to hand over the Goods, the Order shall be deemed fulfilled by the Seller, funds shall not be refunded to the Buyer, and the Goods shall be subject to disposal (as re-freezing is strictly prohibited).
5.3.5. The Seller guarantees the transfer of the Goods to the Uklon Delivery courier in proper (frozen) condition and in appropriate packaging.
5.4. Acceptance of Goods: Claims regarding the quality of the Goods (defrosting, packaging damage) are accepted exclusively at the moment of receiving the Goods from the courier or at the pick-up point. If the Buyer accepts the order without any remarks, the Seller shall be deemed to have duly performed its obligations.
6. Terms of Product Return or Exchange
6.1. In accordance with the Resolution of the Cabinet of Ministers of Ukraine No. 172 dated March 19, 1994, food products of proper quality are not subject to exchange or return.
6.2. The Buyer has the right to reject the Goods or demand their replacement only in case of detecting improper quality (spoiled product, damaged packaging) directly at the moment of receiving the order from the courier.
6.3. In case of detecting defects or the sale of products of improper quality, the consumer has the right to demand:
• Replacement with a similar product of proper quality;
• Replacement with another product with a corresponding recalculation of the retail price; • A refund.
To execute a product replacement or a refund, the buyer must provide a standard-form receipt (payment document) issued to them at the time of purchase, confirming the fact of purchase and indicating the date of sale.
7. Liability of the Parties
7.1. The Seller shall not be held liable for improper use or storage by the Buyer of the Goods ordered from the online store (for instance, re-freezing).
7.2. The Parties shall be exempted from liability for non-performance of obligations in the event of force majeure circumstances (war, air raid alerts, blackouts that make delivery impossible).
